These Terms & Conditions (“Terms”) govern your access to and use of the Service to generate AI-assisted content (including video tips, product advertisements, images, synthetic avatars, and related assets) and to publish content to integrated third-party accounts.

By registering an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. For any inquiries regarding these Terms, please contact us at [email protected].

2. Your Account

Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.
Account Security & Information: You agree to provide accurate registration information and keep your credentials secure. You are fully responsible for all activity that occurs under or through your account. If you lose access to your password, you can reset it via the sign-in page using your registered email address.
Workspaces & Team Permissions: If you invite team members to a workspace, they may access, view, and use the workspace’s content and credits based on the roles and permissions assigned to them. You remain responsible for all activity conducted by invited members. Only the workspace owner is authorized to manage billing and subscription settings.

3. Your Content and Permissions

User Responsibilities & Rights: You must only upload material that you own or have explicit permission to use. You are required to obtain appropriate permissions before using any individual’s face, voice, likeness, or personal information—including prior to creating a “Creator” avatar from a recording of someone other than yourself. You remain solely responsible for the legality, accuracy, and appropriateness of any content you submit or publish.
Ownership & Commercial Use: You retain ownership of the original content you upload. Subject to these Terms and the applicable third-party licenses of any underlying AI models, you also own the output generated by the Service and may use it for commercial purposes.
License Grant to HeyOhm.ai: You grant HeyOhm.ai a worldwide, non-exclusive license to host, process, reproduce, and display your content solely to operate, provide, and improve the Service.
Privacy: Your content remains private to your workspace across all plans, including the Free plan. We will never share or display your content to other users or on public pages without your consent.

4. Responsible Use

Prohibited Activities: You agree not to use HeyOhm.ai for any unlawful activity, fraud, impersonation, copyright/trademark infringement, harassment, or misleading claims.
Content Restrictions: You must not create, upload, or share content that is sexually explicit, hateful, abusive, or harmful to minors, or that violates the policies and guidelines of connected publishing platforms (such as TikTok, TikTok Shop, Instagram, or YouTube).
System Security: You must not attempt to disrupt, probe, reverse-engineer, decompile, or gain unauthorized access to any part of the Service or its underlying infrastructure.
Review & Compliance Duty: You are solely responsible for reviewing all AI-generated content before publishing. This includes verifying the accuracy of product information, advertising claims, legal disclosures, and compliance with platform-specific rules.

5. AI-Generated Results

Nature of AI Output: You acknowledge that AI-generated output may contain inaccuracies, errors, or bias, and may resemble content generated for other users. Outputs may require editing prior to use.
No Guarantees or Exclusive Ownership: HeyOhm.ai makes no guarantees regarding performance, including sales, audience growth, account verification, or platform approval. Furthermore, HeyOhm.ai does not guarantee that generated output will qualify for exclusive intellectual property or copyright protection.
User Due Diligence & Disclosures: You are solely responsible for evaluating, verifying, and editing all output before publishing or relying on it. You are also fully responsible for complying with any legal or platform-specific disclosure requirements regarding AI-generated, synthetic, or manipulated media (e.g., TikTok’s AI labeling rules or FTC guidelines).

6. Plans, Credits, and Payments

Pricing & Subscription Auto-Renewal: Please review all plan details and checkout terms before purchasing. All prices are listed in US Dollars ($USD), and payments are processed securely via Stripe. Subscriptions automatically renew each month unless canceled by the workspace owner through the Billing page prior to the renewal date.
Credit Allocation & Expiration:
- Paid Subscriptions: Monthly plan credits are allocated at the beginning of each billing cycle. Unused monthly plan credits expire at the end of the billing period and do not roll over.
- Add-On Credits: Credits purchased separately (“Top-up Credits”) remain in your workspace until fully consumed.
- Free Plan: Free credits are granted as a one-time allocation upon account registration.
Failed Generations: If an AI content generation fails due to a system error, any credits reserved for that task will be automatically returned to your workspace.
Refund Policy: Except where required by applicable law, all payments are non-refundable, and used or expired credits cannot be redeemed or refunded.

7. Service Availability and Account Termination

Service Availability & Modification: While we strive to maintain high availability, the Service may be updated, modified, interrupted, or temporarily unavailable. Features that integrate with or rely on third-party platforms (such as TikTok or Instagram) depend on the continued availability and policies of those external services.
Account Closure by You: You may stop using the Service at any time. To request the deletion or closure of your account, contact us at [email protected].
Suspension & Termination by Us: We reserve the right to suspend or terminate your account or access to the Service at our discretion, without prior notice, if you breach these Terms or if necessary to protect HeyOhm.ai, our users, or the integrity of the Service.
Survival: Any provisions of these Terms that by their nature should survive termination—including ownership clauses, disclaimers, limitations of liability, and indemnity—will remain in effect after your account is closed.

8. Liability, Disputes, and Changes

“As Is” Disclaimer: Nothing in these Terms excludes or limits rights that cannot legally be excluded under applicable law. Subject to those statutory rights, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.
Limitation of Liability: To the maximum extent permitted by law, HeyOhm.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business opportunity). Our total cumulative liability for any claims arising out of or relating to these Terms or the Service is limited to the total amount paid by you to HeyOhm.ai in the twelve (12) months preceding the claim.
Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
Updates to Terms: We may modify or update these Terms from time to time. If we make material changes, we will notify you through the Service or via email prior to the changes taking effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the revised Terms.
